On 18 October 2022, the Luxembourg Parliament adopted the law creating a procedure of administrative dissolution without liquidation.
The Law introduces a simplified procedure in order to get rid of dormant and empty entities in a short time frame and with limited costs. The aim is to provide an alternative to the burdensome judicial liquidation procedure of article 1200-1 of the law of 10 August 1915 on commercial companies, as amended.
